These Terms & Conditions ("Terms") govern your access to and use of Welbuk Practice and related websites, mobile applications, and services (collectively, the "Services"), provided by Codagam Software Labs Private Limited ("Welbuk", "we", "us", or "our").
By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of a healthcare facility or organisation, you represent that you are authorised to bind that organisation to these Terms.
1. Eligibility and Accounts
You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity that occurs under your account. Notify us promptly of any unauthorised use.
2. The Services
Welbuk provides software that helps healthcare facilities manage appointments, consultations, prescriptions, lab referrals, pharmacy, billing, and related workflows. The Services are administrative and record-keeping tools; they support, but do not replace, the professional judgment of qualified healthcare providers.
3. Medical Disclaimer
The Services do not provide medical advice, diagnosis, or treatment, and are not a substitute for professional clinical judgment or the doctor–patient relationship. Healthcare decisions remain the sole responsibility of the treating provider and facility. In a medical emergency, contact local emergency services immediately. We are not liable for clinical decisions made using the Services.
4. Acceptable Use
You agree not to:
- Use the Services in violation of any applicable law or regulation, including health-data and privacy laws;
- Access, use, or disclose patient or personal data beyond what your role and authorisation permit;
- Attempt to gain unauthorised access to, probe, or disrupt the Services or their infrastructure;
- Upload malicious code, or scrape, reverse engineer, or copy the Services except as permitted by law;
- Misrepresent your identity or your authority to act for a facility or patient.
5. Facility and Provider Responsibilities
Healthcare facilities and providers are responsible for obtaining all necessary patient consents, for the accuracy and lawfulness of the data they enter, for configuring user access appropriately, and for complying with the laws and professional standards that apply to their practice. Where the facility is the controller/data fiduciary, it directs how patient data is processed.
6. Fees and Payments
Some features of the Services are provided on a paid or subscription basis. Applicable fees, platform charges, and taxes will be disclosed to you. Payments may be processed by third-party payment processors, and you agree to their terms in addition to ours. Except as required by law, fees are non-refundable.
7. Intellectual Property
The Services, including all software, content, and trademarks, are owned by Codagam Software Labs Private Limited or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. You retain ownership of the data you submit, and you grant us the rights necessary to host and process it to provide the Services.
8. Third-Party Services
The Services may integrate with third-party services (such as payment gateways, messaging providers, and national health systems like ABDM). We are not responsible for third-party services, and your use of them may be subject to separate terms and privacy policies.
9. Privacy
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect information. Please review it at /privacy.
10. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.
11. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid us for the Services in the twelve months preceding the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
12. Indemnification
You agree to indemnify and hold harmless Codagam Software Labs Private Limited and its officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Services, your data, or your breach of these Terms or applicable law.
13. Suspension and Termination
We may suspend or terminate your access to the Services if you breach these Terms, if required by law, or to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.
14. Governing Law and Disputes
These Terms are governed by the laws of Gobichettipalayam, Tamil Nadu, India, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the competent courts in Gobichettipalayam, Tamil Nadu, India for any disputes, subject to any mandatory consumer-protection rights available to you.
15. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a new 'Last updated' date and, where required, provide additional notice. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
